Terms of Service
The terms and conditions governing your use of the Optima Forge platform.

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "Customer") and Optima Forge ("we," "us," or "Company") governing your access to and use of the Optima Forge platform, APIs, dashboard, documentation, and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.
1. Account Terms
- You must be at least 16 years of age to create an account and use the Service.
- You must provide accurate, complete, and current information during registration and keep your account information updated.
- You are responsible for maintaining the confidentiality of your account credentials, API keys, and access tokens.
- You are responsible for all activity that occurs under your account, including actions taken by users you authorize.
- You must notify us immediately at security@optima-forge.com if you suspect unauthorized access to your account.
- One person or entity may not maintain more than one free account. Multiple paid accounts are permitted.
2. API Usage
2.1 Access and Rate Limits
Your API access is subject to the rate limits and usage quotas of your subscription tier:
- Free: 60 requests per minute, 3 LLM providers.
- Pro: 600 requests per minute, all providers.
- Ultimate: Unlimited requests per minute, all providers and features.
- Enterprise: Custom limits per agreement.
Exceeding rate limits will result in HTTP 429 responses. Persistent abuse of rate limits may result in temporary or permanent suspension.
2.2 API Compatibility
The Forge API is compatible with the OpenAI API specification (/v1/chat/completions, /v1/responses). While we strive to maintain backward compatibility, we may introduce breaking changes with at least 30 days' notice to registered accounts.
3. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law, regulation, or third-party rights.
- Generate or distribute harmful, abusive, defamatory, or illegal content.
- Attempt to circumvent security measures, rate limits, or access controls.
- Reverse engineer, decompile, or attempt to extract source code from the Service (except as permitted by BSL 1.1).
- Use the Service to build a competing product or service that replicates the core functionality of Optima Forge.
- Transmit malware, viruses, or malicious code through the API.
- Attempt to access other customers' data, accounts, or resources.
- Use the Service for cryptocurrency mining, DDoS attacks, or other resource-intensive abusive activities.
- Resell or redistribute the Service without a Channel Partner agreement.
- Use automated means to scrape, harvest, or collect data from the Service beyond normal API usage.
4. Payment Terms
4.1 Subscription Plans
- Paid subscriptions are billed in advance on a monthly or annual basis.
- All prices are in USD and exclusive of applicable taxes.
- Annual plans are billed at the start of the annual period. Monthly plans are billed at the start of each billing cycle.
- We may adjust pricing with 30 days' notice. Price changes take effect at the start of your next billing cycle.
4.2 x402 Credits
- Credit packs are purchased in advance and deducted on a per-use basis when calling MCP modules.
- Credits are non-refundable and expire 12 months after purchase.
- Credit pricing per MCP module is published on our pricing page and may be updated with 14 days' notice.
4.3 Free Trial
- New accounts receive a 7-day Ultimate trial, triggered on the first API request (not on account creation).
- No credit card is required to start the trial.
- After the trial, you may subscribe to a paid plan or continue on the Free tier.
- A 30-day read-only grace period follows the trial to allow data export.
4.4 Refund Policy
- Monthly and annual subscriptions are eligible for a full refund within 14 days of purchase.
- After 14 days, subscriptions can be canceled at any time. Your plan remains active until the end of the current billing period.
- No partial refunds are provided for unused time within a billing period.
- Enterprise contracts follow the refund terms specified in the applicable Master Service Agreement (MSA).
- x402 credit packs are non-refundable after purchase.
5. Intellectual Property
5.1 Our Intellectual Property
The Service, including all software, architecture, documentation, branding, and user interfaces, is the intellectual property of Optima Forge and is licensed under the Business Source License 1.1 (BSL 1.1). You may read and audit the source code, but production use requires a valid subscription or license agreement.
5.2 Your Content
You retain all rights to the data, prompts, and content you transmit through the Service. We do not claim ownership of your content. We process your content solely to provide the Service and do not use it to train models or for purposes unrelated to service delivery.
5.3 Feedback
Any feedback, suggestions, or ideas you provide about the Service may be used by us without obligation or compensation to you. By providing feedback, you grant us a perpetual, irrevocable, royalty-free license to use it.
6. Data Processing
For information about how we collect, use, and protect your data, please refer to our Privacy Policy. Enterprise customers requiring a Data Processing Agreement should contact enterprise@optima-forge.com or refer to our standard DPA.
7. Service Level Agreement
Uptime commitments and service credits are governed by our Service Level Agreement. SLA guarantees vary by subscription tier: 99.9% (Pro), 99.95% (Ultimate), and 99.99% (Enterprise).
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
- IN NO EVENT SHALL OPTIMA FORGE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.
- OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
- WE DO NOT GUARANTEE THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY LLM OUTPUT GENERATED THROUGH THE SERVICE. YOU ARE RESPONSIBLE FOR VALIDATING ALL AI-GENERATED CONTENT.
9. Indemnification
You agree to indemnify, defend, and hold harmless Optima Forge and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.
10. Termination
- You may terminate your account at any time from your dashboard settings or by contacting support.
- We may suspend or terminate your account if you violate these Terms, engage in abusive behavior, or fail to pay fees when due.
- Upon termination, your right to access the Service ceases immediately. We will retain your data for 30 days to allow export, after which it will be permanently deleted.
- Sections regarding intellectual property, limitation of liability, indemnification, and governing law survive termination.
11. Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Wilmington, Delaware. Each party bears its own costs, and the arbitrator's decision is final and binding.
Notwithstanding the above, either party may seek injunctive relief in any court of competent jurisdiction to protect intellectual property rights or prevent irreparable harm.
12. Modifications
We may modify these Terms at any time. Material changes will be communicated via email or a prominent notice on our website at least 30 days before they take effect. Your continued use of the Service after changes take effect constitutes acceptance. If you do not agree to the modified Terms, you must stop using the Service and close your account.
13. General Provisions
- Entire Agreement: These Terms, together with the Privacy Policy, SLA, and any applicable DPA or MSA, constitute the entire agreement between you and Optima Forge.
- Severability: If any provision of these Terms is found unenforceable, the remaining provisions continue in full force.
- Waiver: Our failure to enforce any provision does not waive our right to enforce it later.
- Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger or acquisition.
- Force Majeure: Neither party is liable for delays caused by circumstances beyond reasonable control, including natural disasters, war, pandemic, or government actions.
